Terms and Conditions of Use

1. IDENTIFICATION AND PURPOSE
These Terms and Conditions ("T&C") govern access to and use of the website https://traspasso.com ("the Platform") and the services offered through it by Nicolás Tabares Wiede ("traspasso", "we").
traspasso is a digital intermediation platform that connects individuals and companies interested in the sale and transfer of businesses in Spain. traspasso acts solely as a technological intermediary and is not a party to any of the sale or transfer transactions carried out between users.
Accessing and using the Platform implies full and unreserved acceptance of these T&C. If you do not agree, you must refrain from using the Platform.
2. ACCESS AND REGISTRATION
Access to the public part of the Platform (browsing listings) is free and does not require registration. To publish listings or use advanced features, you must create a user account.
2.1. Registration conditions
- The user must be over 18 years old and act as a natural person or as the authorised representative of a legal entity.
- The data provided at registration must be truthful, accurate and up to date. The user is responsible for keeping their data current.
- The user is responsible for the confidentiality of their password and for the activities carried out from their account.
- traspasso reserves the right to suspend or cancel accounts that breach these T&C, provide false information or make fraudulent use of the Platform.
3. PUBLISHING LISTINGS
3.1. Listing content
The user who publishes a listing (the "Advertiser") is the sole and exclusive party responsible for its content. The Advertiser declares and warrants that:
- The information contained in the listing is truthful, accurate and not misleading.
- The advertised business exists and is available for sale or transfer at the time of publication.
- They have the authority to sell or transfer the business, or authorisation to do so on behalf of the owner.
- The listing does not infringe third-party rights, trade secrets, unfair competition regulations or any other applicable legislation.
3.2. Review and moderation
traspasso may review the content of listings and reject or remove those that, in its reasonable judgement, breach these T&C, are false, misleading, illegal or harmful to other users or to the reputation of the Platform. This review does not imply any assumption of liability for the published content.
3.3. Removing listings
The Advertiser may request the removal of their listing at any time from their user area or by contacting [email protected]. In the event of a technical issue preventing removal by the user themselves, traspasso will handle the request within a maximum of 48 business hours. Removing the listing does not automatically imply the deletion of the Advertiser's personal data (see Privacy Policy).
4. SUBSCRIPTION PLANS AND PAYMENTS
traspasso offers different listing plans, including a free option and paid plans with greater visibility and additional features. The prices and features of each plan are detailed in the "Pricing" section of the website and may be updated periodically.
- Payment for subscription plans is made through the means enabled on the Platform (credit/debit card or other available methods), processed by secure payment providers.
- The prices shown include the applicable IGIC (Impuesto General Indirecto Canario, the Canary Islands equivalent of VAT), unless expressly stated otherwise.
- Paid subscriptions renew automatically at the end of the contracted period, unless the user cancels them sufficiently in advance from their user area.
- No refunds are given for subscription periods already started, except in the cases provided for by consumer protection regulations (see section 6).
5. OBLIGATIONS AND PROHIBITED USE
The user agrees to use the Platform in accordance with the law, public morality and public order. In particular, it is prohibited to:
- Publish false or fraudulent listings, or listings for non-existent businesses.
- Use the Platform for money laundering, tax evasion or other illegal activities.
- Attempt to gain unauthorised access to systems, other users' accounts or traspasso databases.
- Use scraping tools, bots or other automated means to extract data from the Platform without traspasso's prior written authorisation.
- Publish contact information in the listing's free-text fields in order to bypass the Platform's messaging system and the paid plans.
- Harass, threaten or harm other users.
- Infringe the intellectual or industrial property rights of traspasso or of third parties.
6. RIGHT OF WITHDRAWAL
If you are a consumer under Royal Legislative Decree 1/2007 (TRLGDCU) and have purchased a paid plan, you have the right to withdraw from the contract within 14 calendar days of purchase, without giving any reason and without penalty.
To exercise your right of withdrawal, notify [email protected] with the subject "Contract withdrawal", stating your name, registration email and purchase date. We will process the refund within 14 days of receiving the notification.
The right of withdrawal will not apply if, at your express request, the service began to be performed before the withdrawal period expired and has been provided in full.
7. LIMITATION OF LIABILITY
traspasso acts as a mere technological intermediary and assumes no liability for:
- The truthfulness, accuracy, legality or completeness of the listings published by users.
- The outcome of sale or transfer transactions between users; traspasso is not a party to such transactions.
- The statements, warranties or obligations assumed by users among themselves.
- Loss of business opportunity, loss of profit or indirect damages arising from use of the Platform.
- Service interruptions due to force majeure, third-party infrastructure failures or duly communicated maintenance work.
traspasso does not guarantee that buyers interested in a listing meet the solvency requirements needed to complete the transaction. We recommend that users carry out the appropriate due diligence before committing to any transaction.
traspasso's maximum liability towards any user for the services provided will be limited, in any case, to the amount actually paid by that user in the twelve months prior to the event giving rise to the claim.
8. INTELLECTUAL AND INDUSTRIAL PROPERTY
All content on the Platform (design, source code, logos, texts, images, database and features) is the property of traspasso or its licensors and is protected by Spanish and international intellectual and industrial property regulations.
The user retains ownership of the content they publish on the Platform (texts, photographs of their listings, etc.) and grants traspasso a non-exclusive, free and worldwide licence to reproduce, distribute and publicly communicate said content solely for the purpose of providing the Platform's services.
The reproduction, distribution or exploitation of traspasso content without prior written authorisation is prohibited.
9. ACCOUNT CANCELLATION AND SERVICE TERMINATION
The user may request the closure of their account at any time from the user area or by sending an email to [email protected] with the subject "Account cancellation". Closure implies the removal of their active listings.
traspasso may terminate the user's access to the Platform, with or without prior notice, in the event of a serious or repeated breach of these T&C, fraudulent activity or conduct contrary to the rights of third parties or to applicable legislation.
Closing the account does not release the user from outstanding payment obligations or from liabilities arising from previous actions.
10. CHANGES TO THE T&C AND THE SERVICE
traspasso reserves the right to modify these T&C, as well as the features and functionalities of the Platform, at any time. Changes will be published on the website with an indication of their effective date. If the user continues to use the Platform after the changes are published, they will be deemed to have accepted them. In the case of substantial changes, we will notify registered users by email.
11. APPLICABLE LAW AND JURISDICTION
These T&C are governed by Spanish law. For the resolution of any dispute arising from use of the Platform, the parties submit, waiving any other jurisdiction that may correspond to them, to the Courts and Tribunals of Las Palmas de Gran Canaria, unless consumer protection regulations establish a different jurisdiction.
